2. Services Description

ShipUp provides comprehensive digital and performance marketing services including but not limited to:

• Strategic campaign optimization and conversion workflow management
• Multi-channel digital advertising deployment (Meta, Google, TikTok, DSP, and Content networks)
• Data-driven audience generation and corporate consumer acquisition strategies
• Marketing analytics, insights tracking, and system performance auditing

3. Client & Advertiser Obligations

• Provide accurate, complete, and legally valid information regarding business operations and creative assets
• Ensure all promoted materials, products, and services comply fully with applicable regional and international laws
• Honor all contractual financial structures, service retainers, and formal payment cycles
• Refrain from engaging in system manipulation, fraudulent conversions, or consumer misrepresentation
• Maintain compliant and clear consumer disclosures on all active destinations and digital landing interfaces
• Comply completely with FTC, TCPA, UDAAP, and other relevant structural regulatory frameworks

4. Prohibited Activities

• Generating synthetic, automated, or fraudulent user traffic, clicks, impressions, or consumer profiles
• Promoting restricted, unauthorized, or illegal services and product groups
• Targeting underage audiences or minors without verified systemic compliance safeguards
• Publishing deceptive, unverified, or misleading claims inside live marketing creatives
• Violating global telecom protocols, DNC directories, or deploying unsanctioned spam elements
• Attempting to reverse engineer, disrupt, or bypass our corporate tracking frameworks and server networks

5. Intellectual Property

All software architectures, original content, design codes, trademark assets, and logos found on the ShipUp platform are exclusively owned by or legally licensed to ShipUp. Unauthorized reproduction or generation of derivative models is strictly prohibited without explicit written clearance.

6. Payment and Financial Terms

Financial schedules, billing methods, and verification guidelines are executed via specific digital service agreements. ShipUp firmly reserves the right to hold back, modify, or invalidate account balances linked to fraudulent operations or clear structural violations of our compliance criteria.

7. Limitation of Liability

To the absolute threshold allowed under governing frameworks, ShipUp will not be held responsible for indirect, punitive, secondary, or consequential financial losses connected to service accessibility. Our aggregated operational liability shall never surpass the transactional total settled by you in the 30 days preceding the claim.

8. Indemnification

You formally agree to indemnify, protect, and hold harmless ShipUp, its legal officers, board members, team members, and enterprise partners from any structural claims, financial damages, or regulatory penalties born from your direct breach of these system Terms or foundational consumer laws.

9. Termination

We maintain full administrative authority to interrupt or permanently deactivate your operational access to our systems at any stage, without prior notice, if your organizational conduct compromises our networks, partners, or regulatory standards.

10. Governing Law

These Terms shall be governed by and interpreted under the laws of India. Any technical disagreements or court actions shall proceed exclusively through the judicial forums situated in Lucknow, Uttar Pradesh, India.
